Taste of the Town Contest Rules

TODD'S TASTE OF THE TOWN CONTEST
NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT IMPROVE YOUR CHANCE OF WINNING.

Eligibility: The Todd's Taste of the Town Contest ("Contest") is open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age and older,. Employees, officers, directors, agents and representatives of ESPN ("Sponsor"), and each of its respective parent companies, subsidiaries, affiliates, advertising/promotion/fulfillment agencies, and anyone else connected with the production and distribution of this Contest (hereafter, collectively, "Released Parties") and their immediate families (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and those living in their same household, whether or not related, are not eligible to enter or win. Contest is void where prohibited by law. Contest is subject to all applicable federal, state and local laws. Entrants are responsible for ensuring that all contact information is up-to-date and accurate. Odds of winning are dependent on the number of entries.

To Submit an Entry: Beginning at 8:00 p.m. Eastern Time ("ET") on 9/11/10 and ending on 12/4/10 ( the "Contest Period") we will be giving away gift certificates to a restaurant of Sponsor's choice to entrants ("Entrants") chosen by Sponsor. To submit your entry fill out this form with no more than 50 words telling us why you deserve to win the gift certificate (hereafter "Entry" or "entry"). Essay word count, counting all words including "I", "a", "the" etc., cannot exceed 50 words. All entries must: 1) Be no more than 50 words in length; 2) Be the original creation of the entrant 3) Be suitable for publication; and 4) Written in English. To be eligible for judging, the content of your email must not be: offensive, immoral, defamatory, obscene, profane, violent or destructive in nature in any way. The content of Entry must be kept in concert with Sponsor's image. In the event of non-compliance with any of the terms of these Contest Rules, entry will be void as determined by Sponsor in its sole discretion. Modification of an existing work does not qualify as original. Entrants can submit as many essays as they wish. All Entries must be received by the end of the 3rd quarter of each particular game. The individual named in the email will be deemed the entrant. No group entries or entries on behalf of others will be allowed. The use of script, macro or any device to automate the entry process is prohibited and all such entries will be void. Any entry not meeting all entry requirements stated herein will be disqualified. Entrants may be sent Contest related emails. All entries become the property of the Sponsor and will not be returned. The name of the "authorized account holder" associated with any given email address will be deemed to be the entrant and must comply with these Official Rules. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, an online service provider, or another organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Proof (to Sponsor's satisfaction) of being the authorized account holder may be required by Sponsor. Sponsor is not responsible for lost, incomplete, late, damaged, or misdirected entries; failures or malfunctions of phones, phone lines or telephone systems or other communications malfunctions; interrupted or unavailable network, server or other connections including those through www.espn.com; miscommunications, failed computer hardware or software or other technical failures; garbled, lost, misrouted or scrambled transmissions; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or for any technical problem, including but not limited to any injury or damage to entrant's or any other person's computer related to or resulting from participation in this Contest; printing or other errors appearing within these Official Rules or in any Promotion-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, technical, electronic or otherwise; or the processing or judging of entries. The use of automated entry or similar devices as specifically set forth above, are prohibited and entries through such prohibited devices are void. By entering this Contest, entrants give their express permission to be contacted by Sponsor by telephone, email and/or postal mail for promotional purposes only.

Judging: Based on the criteria outlined below, weekly Grand Prize winners will be determined on or about the Monday following each weeky game period from among all eligible entries received. A panel of judges selected by Sponsor, whose decisions will be final and binding in all matters relating to this Contest, will judge each Entry based on the following criteria: 1) Creativity and 2) Overall Quality of Submission. Winners will be notified by email, telephone, overnight delivery and/or mail.

Grand Prizes: Eligible Entrants will receive a one hundred dollar ($100) gift certificate to Sponsor's restaurant of choice. Approximate Retail Value of all prizes: $1400.

Miscellaneous: Winner is responsible for any federal, state and local taxes, as well as any other costs and expenses associated with acceptance and use of prize not specified as covered as part of prize herein, including, without limitation, meals, luggage fees, gratuities and insurance. No transfer, assignment, cash redemption or substitution of prize (or portion of prize) is permitted, except by Sponsor, which reserves the right to substitute a prize (or applicable portion of prize) with one of comparable or greater value, as determined by Sponsor. Potential Grand Prize winner will be required to execute and return an Affidavit of Eligibility, Liability Release and (where legal) Publicity Release within five (5) days of date of issuance of notification. Non-compliance with the foregoing or with these Official Rules may result in disqualification and, at Sponsor's sole discretion, the awarding of prize to the next runner-up. Designation of Grand Prize winner is subject to verification of the Affidavit/Release. Entrants warrant and represent that: (1) Sponsor shall own the Entry (and all material embodied therein); (2) that by entering, the entrant irrevocably assigns to Sponsor and its designees any and all rights, title and interest in the Entry including but not limited to all intellectual property rights; and (3) that Sponsor and its designees shall have, without limitation, the perpetual, right, but not the obligation, worldwide to edit, adapt, modify, publish, exploit and use the Entry in any way and in any media for trade, advertising, promotional and/or other purposes as Sponsor and/or its designees may determine without further consideration, notification or permission of entrants, winner or any third parties or, at its discretion, remove any submission. By participating, entrants agree to be bound by these Official Rules and the decisions of the Sponsor and judges, which are final and binding and agree that: 1.) Released Parties and their designees may use (unless prohibited by law) their name, voice, city/state of residence, photograph and/or likeness for advertising and/or trade and/or for any other purpose in any media or format now or hereafter known, worldwide in perpetuity, without further compensation, permission or notification, and 2.) Released Parties and their designees and assigns shall have no liability and will be held harmless for any liability, loss, injury or damage, including, without limitation, personal injury, death or damage to personal or real property, to entrant or any other person or entity due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a prize (including any travel/activity related thereto) or participation in this Contest. Sponsor reserves the right, in its sole discretion, to modify, suspend or terminate this Contest (or any portion thereof) should virus, bugs, non-authorized human intervention or other causes, including but not limited to war or armed conflict (whether or not officially declared), labor controversy or threat thereof, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of this Contest and, in the event of termination, at its discretion, select winner from among all eligible, non-suspect entries received as of the date of the event requiring such termination. ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES (INCLUDING ATTORNEYS' FEES) AND DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION.

Sponsor reserves the right to conduct a background check of any and all records of the Grand Prize winners, including without limitation, civil and criminal court records and police reports. To the extent necessary under law, Grand Prize winners shall authorize this background check. Sponsor may also take all steps necessary to corroborate any information provided to Sponsor by Grand Prize winner in his/her interview. In that regard, Grand Prize winners will be obligated to provide necessary contacts and information so that Sponsor may conduct such investigation. Sponsor reserves the right (at its sole discretion) to disqualify Grand Prize winners from any prize element, based on the background check.

E-mail Change of Address Policy: It is the sole responsibility of the entrant to notify the Sponsor during the Promotion Period if his or her e-mail address has changed. To do so, click on the member services link on any ESPN.com page, then click on the Change Account Information link and follow the instructions.

Disputes/Choice of Law: Except where prohibited, each entrant agrees that: (i) all issues and questions concerning these Official Rules shall be governed by New York law without giving effect to any principles of conflicts of law of any jurisdiction; (ii) any and all disputes, claims and causes of action at law or in equity arising out of or relating to this Contest or any prize awarded shall be (A) resolved individually, without resort to any form of class action; and (B) filed only in the state or federal courts situated in New York County, New York state, i.e., Manhattan, and entrant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (iii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys' fees; and (iv) under no circumstances will any entrant be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

Privacy: Personally identifiable information that is submitted by entrants as part of this Contest will be used to administer the Contest, select the prize winner and fulfill the prize, and will be treated in accordance with Sponsor's privacy policy accessible on its website at www.espn.com.
